Board Secretary
An organization focused on financing and supporting sustainable and innovative plans in the Netherlands is looking for a Board Secretary. You will strengthen the Corporate Secretariat and be energized by organizing, structuring, and collaborating in a governance environment. The Corporate Secretariat ensures the efficient and diligent functioning of the board of directors, supervisory board, and various committees, in accordance with the highest governance standards.
You will also maintain contacts with the Dutch state as a shareholder, offering a unique insight into governance decision-making with societal impact. The team is small and is part of the Legal department, which is expanding. You will work closely with the Senior Board Secretary and report to the Head of Legal.
What you do
As the right hand of the senior board secretary, you are responsible for the operational support of the Corporate Secretariat. You actively contribute to good governance, careful decision-making, and the further professionalization of the secretariat. Your main tasks and responsibilities are:
- Organizing, preparing, and coordinating meetings of the board of directors, (committees of the) supervisory board, the Investment Committee, and the shareholder
- Taking minutes of meetings (with possible use of AI), drafting agendas, action and decision lists, and monitoring the follow-up of actions and decisions
- Coordinating reporting processes towards the shareholder
- Managing corporate housekeeping, including powers of attorney and Chamber of Commerce/UBO registrations
- Identifying and implementing improvements in the field of governance and decision-making
Profile
You are:
- An organizational talent with administrative sensitivity
- Accurate, able to maintain an overview, and enjoy bringing structure to a developing organization
- Flexible and move easily in an administrative, politically sensitive environment
- Collaborative, but also know when independent action is required
- Integral and discreet
- Clear and meticulous in written communication, able to distinguish between main and secondary issues
- Interested in the possibilities of AI and willing to experiment with new tools for reporting and supporting governance processes
What they ask You have:
- At least a completed HBO education (higher professional education), preferably in a relevant field (law, business administration, or public administration)
- At least 3 years of relevant work experience, for example as a board secretary, executive secretary, or governance professional
- Experience with taking minutes at board level
- Excellent communication skills, both written and oral
- A good command of the Dutch and English languages
- Experience with the Dutch Corporate Governance Code and Book 2 of the Dutch Civil Code is a plus
