An established, independent consulting organization with multiple branches and a team of over 300 professionals is looking for a Head of Legal. The legal department offers comprehensive support for legal challenges faced by companies, from advice and compliance to contract negotiations and guidance on real estate and construction projects. The focus is on clear, pragmatic solutions.
Within this role, the emphasis is on Mergers & Acquisitions (M&A), where entrepreneurs are guided through strategic transactions such as acquisitions, mergers, participations, and sales processes. Close collaboration is maintained with the Corporate Finance department and other specialized teams.
What you will do.
- Act as the legal point of contact for M&A processes and play a key role in the further development and growth of the legal department.
- Combine in-depth expertise in corporate and business law with a strong commercial mindset and strategic insight.
- Identify opportunities within existing client relationships and through your own network, translating them into sustainable partnerships and new assignments.
- Act as a trusted advisor for entrepreneurs and companies during crucial phases of their development (acquisitions, sales, mergers, participations, changes in shareholder structures).
- Work closely with Corporate Finance colleagues, who are responsible for the financial and strategic guidance of transactions.
- Take full responsibility for the legal structuring, from the initial letter of intent to the final closing.
- Legally guide and structure M&A transactions from start to finish.
- Draft, review, and negotiate transaction documentation, including LOIs and Share Purchase Agreements (SPAs).
- Coordinate legal due diligence and identify and assess legal risks.
- Advise entrepreneurs and companies on corporate and business law issues.
- Guide complex cases related to shareholder relations, corporate governance, commercial contracts, and negotiations.
- Translate complex legal matters into clear, pragmatic, and commercially relevant advice.
- Develop new client relationships and actively build a professional network.
- Represent the organization to clients, at networking events, and professional forums.
- Contribute to the further growth, positioning, and development of the legal department.
- Build strong trust relationships with entrepreneurs and management teams and proactively contribute to their strategic challenges.

- Experienced lawyer combining legal expertise, entrepreneurship, and commercial acumen.
