A specialized firm designs, implements, and administers management participation and equity incentive plans for private equity funds, VC and PE-backed portfolio companies, and corporates, from setup through the life of the plan to exit.
- A freelance legal professional is sought for a long-term, structural collaboration.
- You remain fully independent and receive a recurring flow of specialist work.
- You join live plans and ongoing client engagements alongside founders and a network of tax, financial, and technical specialists.
- The role is client-facing; you work directly with fund managers, management teams, and HR and finance teams at clients.
- You maintain your own practice, clients, and schedule, and benefit from structural work, direct client exposure, and a professional platform to work from.
What you do
- Designing and drafting management participation and equity incentive plans: Coop and STAK structures, share and option plans, SAR, phantom share, and profit-sharing schemes.
- Plan documentation: plan rules, participation and subscription agreements, leaver provisions, shareholders' agreements, and depositary receipt holder terms.
- Implementing plans and onboarding participants, including notarial and corporate housekeeping steps.
- Ongoing plan administration: new entrants, leavers, good leaver and bad leaver events, transfers, and cap table updates.
- Exit and refinancing support: rollover, waterfall, and payout mechanics, alongside the transaction team.
- Working with tax advisors on the tax treatment for managers and the company.
Profile
- 3-12 years of relevant experience in management participation, equity incentive plans, and/or corporate M&A, ideally gained at a leading law firm or a specialist incentive plan advisor.
- Affinity with private equity structures. In-house experience at a PE firm or portfolio company is a plus.
- A relevant law degree (LLM or equivalent).
- Precise and structured, and comfortable with recurring documentation and processes. An interest in legal tech and document automation is a plus.
- Registered as an independent professional (ZZP), or willing to set this up.
- Excellent command of English. Dutch is a plus but not required.
- Able to commit meaningful, recurring capacity, with flexible scheduling.
